Terms of Use

1. Acceptance

By downloading, installing, or using LedgerDock (the “Software”), you agree to these Terms of Use. If you do not agree, do not use the Software.

2. License Grant

SuperDave Lab grants you a personal, non-exclusive, non-transferable license to install and use LedgerDock on devices you own or control, subject to these Terms and, where applicable, your purchased license tier.

• Free — Free to use for personal and professional purposes. Loading files, reviewing and adjusting table structure, clean-up rules, saved import recipes, and CREATE/INSERT script generation are included at no cost, with no row or column caps.
• Pro — A one-time purchase that requires a valid license key. It is perpetual: it does not expire, does not need to be renewed, and you are never billed again. One license key is valid for one natural person. Sharing a license key across multiple users, teams, or organizations is not permitted.
• Beta License — A free, time-limited license issued to beta participants. It grants Pro-level features for a fixed term stated in the key (normally six months from issue). It is not a purchase and leaves no permanent entitlement: when the term ends the license reverts to Free. Beta licenses are not transferable and may not be resold.

3. Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the Software beyond what applicable law expressly permits.
• Redistribute, sublicense, rent, or sell the Software or your license key.
• Use the Software to process data on behalf of third parties as a service without a separate written agreement with SuperDave Lab.
• Remove or alter any copyright, trademark, or proprietary notices in the Software.

4. Updates and Version Support

A Pro license entitles you to all releases issued in the twelve months following your purchase. After that window the version you have remains yours to keep and use indefinitely; newer releases require a new purchase. The Software does not stop working, no features switch off, and no data becomes inaccessible when the update window closes.

Free receives updates at our discretion.

We do not guarantee that any particular database platform or file format will be supported, or will remain supported, in any given release.

4a. Pro Is Perpetual

Pro is a one-time purchase, not a subscription. It does not auto-renew, and we do not store your payment details for recurring billing. There is no expiry date on your entitlement to the Pro features.

Your license key records an entitlement date twelve months after purchase. That date governs your access to new releases only — see section 4. It does not switch anything off. Direct database import, preflight validation, live progress and cancel, duplicate handling, saved connection profiles, and the headless command line all keep working on the version you hold, indefinitely, whether or not that date has passed.

If you see a renewal reminder in the app, it relates to a beta license (section 4b), not to a purchased Pro license.

4b. Beta Licenses

A beta license is granted free of charge in exchange for participation and feedback. Unlike Pro, it is a fixed term and it does end.

It carries an end date recorded in the key itself and enforced offline by the Software — no account, activation server, or check-in is involved. The Software reminds you in-app for the 30 days leading up to that date, and the Pro-level features remain fully available for a grace period of 14 days after it, with an urgent reminder throughout.

When the grace period ends, the license reverts to Free. Unlike a purchased Pro license, no paid tier remains, because a beta license is not a purchase. Direct database import and saved connection profiles become unavailable. You keep loading files of any size, reviewing and adjusting table structure, clean-up rules, saved import recipes, and CREATE/INSERT script generation. Any SQL you have already generated, any data you have already imported, and any recipes you created are unaffected and remain on your device and in your databases.

Beta licenses may be issued, declined, or ended at our discretion. Purchasing a Pro license at any time replaces a beta license and is unaffected by its end date.

5. Privacy and Data Processing

LedgerDock processes all files locally on your device. No file content, database content, credentials, or personal information is transmitted to SuperDave Lab or any third party. See our Privacy Policy for full details.

When you use direct import, the Software connects to the database you configure and sends your data there and nowhere else. Connection passwords are held in your operating system's credential store, not in the Software's own settings files.

The only network connection the Software makes to SuperDave Lab is an update check, which sends a version number and nothing else, on startup and on demand.

License keys are verified entirely on your device against a public key compiled into the build. Activating, checking, or expiring a license involves no network connection at all.

6. Accuracy Disclaimer

LedgerDock infers column types and generates SQL automatically from the files you supply. Results are generally accurate but may be affected by ambiguous or inconsistent source data, locale-specific formatting, or destination schemas that differ from what was inferred. Always review generated SQL and validate imported data before relying on it for financial, tax, legal, or accounting purposes, and take a backup before importing into a production database. SuperDave Lab is not liable for data loss or for decisions made based on generated or imported output.

7. Intellectual Property

LedgerDock and all associated assets are the property of SuperDave Lab. Your data, and the import recipes and clean-up rules you author yourself, remain your property.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUPERDAVE LAB DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUPERDAVE LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Refund Policy

Pro licenses include a 14-day refund guarantee from the date of purchase. To request a refund, email hello@superdavelab.com within 14 days of your purchase date. Beta licenses are free of charge and carry no refund.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the applicable courts.

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with a new effective date. Continued use of the Software after changes are posted constitutes acceptance of the revised Terms.
